It's similar value to a mid 2nd by the time you off-set the 3rd rounder (TN's 2nd rounder is obviously quite a bit more valuable than ours, for instance).
Personally I'd rather have the mid-2nd but maybe you could do exactly that come draft time. Go ahead and take the TN trade-up scenario and then work the phones in the draft to get back into the 45/50 range and try to pick up a late 3/early 4 for your efforts.
It would take a little more legwork, but if it's the best you can do in terms of raw value, then I guess that's what you do.
